GORVETA Supplier Registration Terms

Important Notice: Registration allows your facility to introduce its manufacturing capabilities to GORVETA for prospective international procurement evaluation. Registration does not constitute approval, qualification, or a guarantee of orders or business.

1. Purpose

These Supplier Registration Terms (“Terms”) govern the submission of supplier, manufacturing, and operational capability information through the GORVETA Supplier Acquisition Portal. The purpose of registration is to allow manufacturing entities to introduce their capabilities to GORVETA for potential sourcing consideration, qualification, or inclusion in prospective RFQ matching.

2. Authority and Eligibility

By submitting a registration profile, the individual doing so represents and warrants that they have full legal capacity and explicit authority to act on behalf of the named business organization.

3. Accuracy and Completeness

The submitting entity represents that all information provided—including legal entity name, primary contacts, product families, machine capabilities, manufacturing processes, materials, export markets, and self-declared certifications—is truthful, accurate, current, and not materially misleading.

4. Prohibition of Impersonation

Suppliers must not register under a false identity, impersonate any third-party business entity, or submit information, addresses, credentials, or contacts belonging to another organization without verified written authorization.

5. No Automatic Approval or Guarantee of Business

Successful receipt of registration and issuance of a GORVETA Supplier Reference Identifier (e.g. SUP-XXXXXX) does not mean the supplier is approved, qualified, preferred, or appointed as an active vendor. Registration creates zero obligation for GORVETA or its procurement partners to issue inquiries, RFQs, purchase orders, customer referrals, or commercial contracts.

6. Screening, Verification, and Auditing

GORVETA reserves the complete right, in its sole discretion, to review, verify, cross-reference, request technical clarification, contact professional references, and perform technical, quality, environmental, or commercial compliance audits before taking any prospective commercial action.

7. Supplier Responsibility & Material Updates

The supplier remains exclusively responsible for the ongoing accuracy of its plant information, capacity constraints, quality certifications, and contact points. The supplier agrees to promptly notify GORVETA if material operational, ownership, or capability changes occur.

8. Communications and Inquiries

Submission of contact details (email and telephone/WhatsApp) authorizes GORVETA procurement specialists to contact designated personnel regarding registration status, capability verification, technical questions, and prospective commercial inquiries.

9. Anti-Bribery and Ethical Conduct

Suppliers must adhere to strict ethical standards. Offering bribes, kickbacks, unapproved commissions, facilitation payments, gifts, or improper inducements to GORVETA personnel or partners is strictly prohibited and results in immediate disqualification and reporting where legally mandated.

10. Legal & Regulatory Compliance

The registering company must operate in strict compliance with applicable local, national, and international laws, including labor standards, environmental regulations, health and safety codes, trade sanctions, and export-control laws.

11. Intellectual Property & Confidential Information

Registration does not grant any license or right in GORVETA's trademarks, brand marks, or proprietary procurement methods. Suppliers must not submit third-party confidential drawings, patent specifications, CAD models, or trade secrets without verified authorization.

12. Data Handling & Privacy Notice

All submitted data is processed in accordance with our Privacy Policy. Data is utilized for supplier screening, onboarding, capability indexing, and legitimate procurement operations.

13. Suspension and De-Registration

GORVETA reserves the right to suspend, archive, or remove any supplier profile if information is discovered to be materially inaccurate, misleading, unresponsive, or in violation of ethical standards or these Terms.

14. Limitation of Liability

The registration portal is provided “as is” without warranties of any kind. GORVETA is not liable for indirect, incidental, or consequential damages resulting from portal use, submission processing delays, or decisions regarding supplier qualification.

15. Governing Law and Amendments

These Terms may be updated periodically. The version and effective date in effect at the time of your submission govern that submission. Governing legal jurisdiction will be finalized and confirmed in connection with formal procurement engagement.

16. Commercial Relationships & Non-Circumvention Protection

(a) Distinction of Scope: Supplier capability registration alone introduces your manufacturing facility to GORVETA for qualification and prospective sourcing matching. Submission of this registration profile does not, in and of itself, establish an exclusive commercial engagement or universal non-circumvention obligation covering unrelated third parties.

(b) Facilitated Procurement Opportunities: Where GORVETA actively introduces, connects, screens, facilitates, or establishes a procurement relationship, RFQ, or commercial business opportunity between the registering supplier and an identified buyer or procurement partner, the supplier agrees to respect and protect GORVETA's commercial role.

(c) Non-Circumvention & Direct-Bypass Prohibition: Once GORVETA has introduced or facilitated a specific buyer or prospective commercial opportunity, neither the supplier nor the buyer shall intentionally circumvent, bypass, or exclude GORVETA from the transaction or subsequent related supply orders for the specific opportunity, solely to avoid agreed commercial fees, procurement margins, commissions, or contractual service arrangements.

(d) Permitted Operational Communications: This protection does not restrict necessary direct technical, engineering, quality, or operational communications between buyer and supplier when required to deliver manufacturing specifications or resolve technical drawing clarifications. The restriction applies specifically against deliberate commercial bypass of GORVETA's legitimate role and rights.

(e) Governing Commercial Agreements: When a facilitated transaction progresses to a formal purchase engagement, detailed commercial rights, durations, fee structures, remedies, and enforcement mechanisms shall be governed by the applicable bilateral commercial agreement executed between the parties.
